Selected Topics in Public Company M&A and Capital Markets
Description
This course will analyze the corporate and securities law principles and issues involved in selected areas of public company mergers & acquisitions and corporate finance. Areas of focus will include public company governance, shareholder activism, the capital markets regulatory regime, and change of control and conflict of interest transactions. The course will provide students with an understanding of issues that commonly arise in these areas and the legal theory and public policy objectives that shape how these issues are addressed in Canada and other jurisdictions.
Evaluation
A presentation to the class on one of the topics/readings - 5-10 minutes (20%), an in-person discussion of paper proposal (15%), a final 4,000 word paper (55%), and class participation (10%).
